NOTICE OF SPECIAL GENERAL MEETING

AGENDA

1. Opening and Welcome The Chair to open the meeting and welcome members. 

2. Attendance and Apologies Recording of members present, proxies received, and apologies.

3. Declaration of a Quorum Confirmation that a quorum is present in accordance with the Club’s Constitution.

4. Business of the Meeting: Special Resolutions The following resolutions are proposed as Special Resolutions. For a Special Resolution to pass, it must be carried by three-quarters (75%) of the members present and entitled to vote.

• Special Resolution 1: Voluntary Winding Up “That Wynnum Manly Sailing Club Inc resolves, as a special resolution, that the Association be wound up voluntarily in accordance with the provisions of the Associations Incorporation Act 1981 (Qld), subject to the completion of the transfer of its assets and liabilities to Wynnum Manly Yacht Club Inc.”

• Special Resolution 2: Transfer of Assets and Liabilities “That Wynnum Manly Sailing Club Inc resolves, as a special resolution, to transfer all of its assets and liabilities to Wynnum Manly Yacht Club Inc (IA 1954), subject to the execution of a formal Deed of Transfer, with such transfer to take effect prior to the finalisation of the winding up.”

• Special Resolution 3: Distribution of Surplus Property “That, for the purposes of section 92 of the Associations Incorporation Act 1981 (Qld) and the Association’s constitution, Wynnum Manly Yacht Club Inc is confirmed as an incorporated association having objects similar to those of Wynnum Manly Sailing Club Inc, and any surplus assets remaining after satisfaction of all debts and liabilities be transferred to Wynnum Manly Yacht Club Inc.”

• Special Resolution 4: Membership Transition “That, subject to acceptance by Wynnum Manly Yacht Club Inc, members of Wynnum Manly Sailing Club Inc be offered sailing membership of Wynnum Manly Yacht Club Inc on terms to be determined by that association, and that membership of Wynnum Manly Sailing Club Inc will cease upon completion of the winding up.”
